Welcome to Close Flo. These Terms of Service (“Terms”) govern your access to and use of the Close Flo website, application, software, tools, content, workflows, forms, checklists, and related services (collectively, the “Service”).
Close Flo is operated by [Close Flo LLC / legal entity name] (“Close Flo,” “we,” “us,” or “our”).
By creating an account, accessing the Service, using the Closing Center, purchasing Guided Close, or clicking “I agree,” you agree to these Terms. If you do not agree, do not use the Service.
1. What Close Flo Does
Close Flo provides online software tools that help private-party sellers organize and manage certain parts of a private sale transaction. The Service may include listing tools, buyer inquiry tracking, valuation guidance, document organization, inspection workflow, payment-safety checklists, title-readiness prompts, closing checklists, handoff reminders, and transaction records.
Close Flo is currently designed for limited supported use cases, which may include Indiana private-party RV sales and other supported asset types or states as made available in the Service.
2. What Close Flo Does Not Do
Close Flo is a software platform only.
Close Flo is not:
- •a motor vehicle dealer;
- •a broker;
- •an escrow provider;
- •a payment processor or payment verifier;
- •a title company;
- •a registration service;
- •an insurance provider;
- •a fraud protection service;
- •a legal service;
- •a tax advisor;
- •a financial advisor; or
- •a government agency.
Close Flo does not:
- •verify buyer identity;
- •verify seller identity;
- •verify that funds have cleared;
- •guarantee payment;
- •guarantee that a buyer or seller will complete a transaction;
- •guarantee a valid title transfer;
- •guarantee legal compliance;
- •guarantee that a vehicle, RV, boat, trailer, or other asset is free of defects, liens, brands, claims, or ownership issues;
- •file forms with any government agency;
- •provide legal, tax, financial, title, insurance, or registration advice.
You are responsible for confirming all requirements with the appropriate government agency, lender, financial institution, attorney, tax professional, title professional, insurance provider, or other qualified professional.
3. Eligibility
You must be at least 18 years old and legally able to enter into contracts to use the Service.
You agree that the information you provide to Close Flo is accurate, complete, and current.
You may not use the Service for unlawful transactions, fraudulent activity, misrepresentation, or to sell stolen, unlawfully possessed, or otherwise restricted property.
4. User Accounts
You may need to create an account to use certain features.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You agree to notify us promptly at support@closeflo.app if you believe your account has been compromised.
5. Transaction Information
You may enter or upload information related to a transaction, including seller information, buyer information, asset details, VIN or serial number, title information, lien information, payment notes, inspection notes, documents, photos, and other transaction-related materials.
You are solely responsible for the accuracy and completeness of the information you provide.
Close Flo may use the information you provide to generate workflows, checklists, reminders, suggested next steps, document-readiness prompts, and other software outputs.
Close Flo does not independently verify the information you provide unless expressly stated in writing.
6. Closing Center and Guided Close
The Closing Center and Guided Close features are intended to help organize transaction steps. They do not replace professional review.
Any checklist, readiness score, status, recommended action, warning, document prompt, or handoff guidance is informational and workflow-based only.
You should not release a vehicle, RV, boat, title, keys, possession, or other property until you have independently confirmed that all required documents are properly completed and that funds have cleared directly with your financial institution.
Close Flo does not verify cleared funds. Close Flo does not verify title transfer. Close Flo does not guarantee that a transaction is safe, valid, enforceable, or complete.
7. Payment Safety
The Service may include payment-safety checklists, reminders, warnings, or educational content.
These tools are not payment verification. They are not fraud protection. They are not escrow.
You are responsible for confirming payment directly with your bank, credit union, lender, payment provider, or financial institution before releasing the asset, title, keys, or possession.
8. Title, Registration, and Government Forms
The Service may reference title documents, bills of sale, odometer disclosures, lien release steps, registration forms, or other transaction documents.
Government forms and requirements may change. Close Flo may not always reflect the most current law, agency process, form, fee, or requirement.
You are responsible for confirming current requirements with the applicable government agency, including the Bureau of Motor Vehicles, Department of Motor Vehicles, Department of Revenue, county office, title office, or other applicable authority.
9. No Legal, Tax, Financial, Insurance, or Professional Advice
Information provided through the Service is for general informational and workflow purposes only.
Nothing in the Service is legal, tax, financial, insurance, title, registration, or professional advice.
You should consult a qualified professional for advice regarding your specific transaction.
10. AI-Generated or Automated Content
Close Flo may use automated systems, artificial intelligence, or rules-based tools to generate summaries, checklists, suggestions, explanations, or next steps.
AI-generated or automated content may be incomplete, inaccurate, outdated, or not applicable to your transaction.
You are responsible for reviewing and verifying all outputs before relying on them.
11. User Content
You retain ownership of information, photos, documents, and other materials you submit to the Service (“User Content”).
You grant Close Flo a limited license to use, store, process, display, analyze, and transmit User Content as necessary to provide, maintain, secure, improve, and support the Service.
You represent that you have the right to submit User Content and that your User Content does not violate any law or rights of another person.
12. Prohibited Uses
You may not use the Service to:
- •commit fraud;
- •misrepresent ownership, title, condition, mileage, liens, payment, or transaction details;
- •sell stolen or unlawfully possessed property;
- •harass, threaten, or deceive another person;
- •upload malware or harmful code;
- •interfere with the Service;
- •scrape, copy, or reverse engineer the Service;
- •violate any law or regulation;
- •use the Service as a substitute for required professional, legal, tax, title, or government advice.
13. Fees and Payments
Certain features may require payment.
Prices, features, and availability may change at any time.
Payments may be processed by Stripe or another third-party payment provider. Your use of payment services may be subject to that provider’s terms.
Unless otherwise stated at checkout, fees are non-refundable once access is provided, except where required by law or expressly approved by Close Flo.
14. Third-Party Services and Links
The Service may link to or integrate with third-party services, websites, forms, payment processors, analytics providers, hosting providers, or other tools.
Close Flo is not responsible for third-party services, content, policies, availability, accuracy, or security.
15. Disclaimers
The Service is provided “as is” and “as available.”
Close Flo disclaims all warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.
Close Flo does not warrant that the Service will be uninterrupted, error-free, secure, current, or suitable for your specific transaction.
16. Limitation of Liability
To the fullest extent permitted by law, Close Flo will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, transaction losses, fraud losses, payment losses, title transfer issues, buyer or seller disputes, or loss of use.
To the fullest extent permitted by law, Close Flo’s total liability for any claim relating to the Service will not exceed the amount you paid to Close Flo for the Service giving rise to the claim during the three months before the claim arose, or $100, whichever is greater.
17. Indemnification
You agree to indemnify and hold harmless Close Flo, its owners, officers, employees, contractors, service providers, and affiliates from claims, losses, liabilities, damages, costs, and expenses arising from:
- •your use of the Service;
- •your transaction;
- •your User Content;
- •your violation of these Terms;
- •your violation of law;
- •your dispute with another buyer, seller, lender, inspector, transporter, government agency, or third party.
18. Account Suspension or Termination
We may suspend or terminate your account or access to the Service if we believe you violated these Terms, created risk for Close Flo or others, used the Service unlawfully, or engaged in fraudulent or abusive behavior.
19. Changes to the Service or Terms
We may update the Service and these Terms from time to time.
If we make material changes, we may provide notice through the Service, by email, or by posting an updated version.
Your continued use of the Service after changes become effective means you accept the updated Terms.
20. Governing Law
These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-law principles, unless otherwise required by applicable law.
